§ 1 Scope

These Terms and Conditions ("Terms") apply to all contracts concluded between ORANGE MANGO GmbH, operator of the online shop „Résidence Club", Martin-Luther-Straße 7D, 97072 Würzburg, Germany ("Seller") and the customer ("Buyer") via the online shop at www.residence-club.store.

A consumer within the meaning of these Terms is any natural person who concludes a legal transaction for purposes that are predominantly outside their trade, business, or profession (§ 13 German Civil Code).

§ 2 Contracting party, conclusion of contract

(1) The contract of sale is concluded with ORANGE MANGO GmbH, Martin-Luther-Straße 7D, 97072 Würzburg, Germany, represented by its Managing Director Andrew Koob, registered at Amtsgericht Würzburg under HRB 9276.

(2) The presentation of products in the online shop is not a binding offer but an invitation to order. The Buyer may first place products in the cart without obligation and may check and change their entries at any time before submitting the order, using the correction facilities provided. By clicking the button marked "Buy now — payment obligation" (or the correspondingly labelled button of the chosen express payment service), the Buyer submits a binding offer to conclude a contract of sale for the items in the cart.

(3) We accept that offer within five days, either by sending the Buyer an order confirmation by email in which we accept the order, or by completing the payment process (collecting the purchase price). Whichever occurs first is decisive. For pre-orders, the contract is therefore concluded before dispatch; the latest dispatch date is stated on the product page and in the order confirmation.

(4) We send the order details and these Terms to the Buyer by email together with the order confirmation.

§ 3 Contract language, storage of the contract text

Contracts can be concluded in German, English and French. The Seller stores the contract text. The order details are sent to the Buyer by email. After the order is placed, the order details are no longer accessible online for security reasons.

§ 4 Delivery, shipping costs, delivery date

(1) We only ship to the countries listed in our Shipping Policy. In addition to the product prices, shipping costs apply; these are shown on the product page, in the cart, during the order process and in the Shipping Policy. Collection in person is not possible.

(2) Unless stated otherwise on the product page, we dispatch within three business days of receipt of payment. For pre-orders, the latest dispatch date stated on the product page and in the order confirmation applies. After dispatch, delivery takes one to three business days within Germany and three to six business days within the rest of the European Union.

(3) If we are unable to meet a delivery date for reasons beyond our control, we will inform the Buyer without delay and state a new expected delivery date. In that case the Buyer may withdraw from the contract; we will refund any payments already made without delay. The Buyer's statutory rights remain unaffected.

§ 5 Prices and payment

All prices in the online shop are final prices in Euro (€). The prices include statutory value added tax.

The Buyer can choose a payment method during checkout. Currently available: Shopify Payments (credit card, SEPA), PayPal, Apple Pay, Google Pay, Shop Pay and Klarna (Pay Now / Pay Later / instalments, subject to Klarna's credit check). Payments are due immediately upon contract conclusion.

§ 6 Retention of title

The goods remain the property of the Seller until full payment has been received.

§ 7 Right of withdrawal for consumers

Consumers have a statutory right of withdrawal. Conditions and consequences are set out in our separate withdrawal policy under "Returns".

§ 8 Warranty

Statutory rights in respect of defects apply. For consumers, the limitation period for claims based on defects is two years from delivery of the goods. We do not give any guarantee going beyond the statutory warranty.

§ 9 Liability

(1) We are liable without limitation for damage arising from injury to life, body or health, for intent and gross negligence, for the fraudulent concealment of a defect, for the assumption of a guarantee, and under the German Product Liability Act.

(2) In the case of a slightly negligent breach of a material contractual obligation — that is, an obligation whose fulfilment makes the proper performance of the contract possible in the first place and on whose observance the Buyer may regularly rely — our liability is limited to the foreseeable damage typical for this type of contract.

(3) In all other respects, liability for slight negligence is excluded.

§ 10 Consumer dispute resolution

The Seller is not obliged to participate in dispute resolution proceedings before a consumer arbitration board and does not participate in any such proceedings.

§ 11 Final provisions

German law applies to the exclusion of the UN Convention on Contracts for the International Sale of Goods (CISG). For consumers, this choice of law applies only insofar as the protection granted by mandatory provisions of the law of the country in which the consumer has their habitual residence is not withdrawn.

Should individual provisions of these Terms be invalid, the validity of the remaining provisions shall not be affected.
